TERMS & CONDITIONS

Website: urbanflame.net
Business/Brand Name: Urban Flame
Effective Date: 20 Sep 2026
Last Updated: 20 Sep 2026

Welcome to Urban Flame. These Terms & Conditions (“Terms”) govern the use of urbanflame.net (“Website”) and business transactions, enquiries, quotations and orders placed with Urban Flame, subject to any separate written agreement or quotation accepted by Urban Flame and the customer.

Urban Flame operates as a B2B manufacturer and wholesale supplier of candles in India. Please read these Terms carefully before placing or confirming an order.

1. Acceptance of Terms

By accessing this Website, submitting an enquiry, requesting a quotation, placing an order, making an advance or other payment, or otherwise conducting business with Urban Flame, you acknowledge that you have read and understood these Terms and agree to them to the extent applicable to your transaction.

Where specific terms stated in an accepted quotation, proforma invoice, purchase order acknowledgement or written agreement differ from these general Terms, the specific written terms agreed for that transaction will apply to the extent of the inconsistency.

2. B2B Nature of Website

Urban Flame primarily operates on a business-to-business (“B2B”) basis.

Our customers may include:

  • Corporate gifting companies
  • Gift hamper businesses
  • Event planners
  • Wedding planners
  • Return gift businesses
  • Gift stores
  • Retailers
  • Distributors, wholesalers and other business/bulk buyers

The Website is primarily intended to provide information about our products and facilitate business enquiries and wholesale/customised orders.

Unless expressly stated otherwise, information displayed on the Website should not automatically be treated as a binding retail offer or confirmation that a particular product, price, quantity or specification is immediately available.

3. Product Information

Urban Flame may manufacture and/or supply products including:

  • Designer Candles
  • Scented Candles
  • Decorative Candles
  • Pillar Candles
  • Soy Wax Candles
  • Customised Candles
  • Private Label Candles
  • Other candle and gifting products offered from time to time

We make reasonable efforts to present product descriptions, photographs, sizes, colours, fragrances, materials, packaging and other information accurately.

However, photographs and digital representations may not perfectly reproduce the actual colour, texture, finish, fragrance perception, dimensions or appearance of a physical product.

Product specifications may also vary where a product is handmade, customised or dependent on available materials.

4. Quotations

Prices, specifications, quantities, MOQs, production estimates, packaging details, transport arrangements and other commercial terms may be communicated through a quotation, proforma invoice, email, WhatsApp, or another written business communication.

Unless expressly stated otherwise, an enquiry or request for quotation does not itself constitute an accepted order.

A quotation may be subject to:

  • Product and raw-material availability
  • Required quantity
  • Customisation requirements
  • Packaging requirements
  • Delivery location
  • Applicable taxes
  • Transport costs
  • Artwork or design requirements
  • Commercial terms applicable at the time of confirmation

The validity period of a quotation, where applicable, will be stated in the relevant quotation or communication.

5. Price Changes

Prices may change due to changes in raw-material costs, packaging costs, labour, transportation, taxes, product specifications, order quantity, customisation requirements or other relevant commercial factors.

A price change will not ordinarily alter an already confirmed order where the price has been expressly agreed and the applicable confirmation requirements have been completed, unless the parties mutually agree otherwise or the original quotation/order expressly provides for an adjustment.

Prices shown on the Website, catalogue or promotional material should not be assumed to remain valid indefinitely.

6. Taxes / GST

Applicable taxes, including GST, will be charged as required under applicable law.

Whether quoted prices include or exclude GST will be specified in the applicable quotation, invoice or commercial communication.

Customers are responsible for providing correct billing, GST and business information where required.

7. Minimum Order Quantity (MOQ)

Certain products, designs, packaging formats, customisations and private-label orders may be subject to a Minimum Order Quantity (“MOQ”).

For customised orders, the current reference quantity may be 500 pieces, but this is not a fixed MOQ for every product.

Actual MOQ may vary depending on:

  • Candle type
  • Size and design
  • Colour
  • Fragrance
  • Jar or container
  • Packaging
  • Label requirements
  • Printing method
  • Custom mould or component requirements
  • Raw-material availability
  • Other manufacturing requirements

The applicable MOQ will be communicated before or during order confirmation.

8. Order Confirmation

An order will be treated as confirmed only when the confirmation requirements communicated by Urban Flame have been completed.

Depending on the order, these requirements may include:

  • Acceptance of the quotation
  • Confirmation of product specifications
  • Confirmation of quantities
  • Artwork/design approval
  • Packaging approval
  • Required advance payment
  • Customer information required for invoicing or production
  • Any other mutually agreed requirement

Submission of an enquiry, purchase request or purchase order does not by itself require Urban Flame to commence production unless the applicable confirmation requirements have been completed.

9. Advance Payment

Urban Flame operates on an advance-payment basis.

Order confirmation may require advance payment. The remaining balance/full payment must be cleared before dispatch/release of goods.

The amount or percentage of advance payment required, where applicable, will be communicated in the quotation, proforma invoice or other written commercial communication.

Receipt of an advance does not override specifications, approvals, MOQ requirements or other conditions expressly agreed for the order.

10. Balance Payment

Any remaining balance must be paid in accordance with the payment terms communicated for the relevant order.

Unless Urban Flame expressly agrees otherwise in writing, the complete outstanding balance must be cleared before the goods are dispatched or released.

Customers should make payments only through payment methods or account details officially communicated by Urban Flame.

11. Full Payment Before Dispatch

As a standard commercial condition:

Order confirmation may require advance payment. The remaining balance/full payment must be cleared before dispatch/release of goods.

No goods should be dispatched or released against an unpaid outstanding balance unless Urban Flame expressly agrees otherwise in writing.

Completion of production does not by itself waive the customer’s outstanding payment obligations.

Dispatch/release may be held until the applicable payment has been received and reasonably verified.

12. Payment Methods

Available payment methods will be communicated by Urban Flame during the transaction.

Payment may be accepted through approved banking or electronic payment methods communicated to the customer.

Urban Flame does not represent through these Terms that Cash on Delivery (COD) is available.

Customers should verify payment details before transferring funds, particularly if they receive any request to pay into account details different from those previously communicated.

13. Production Start

Production will generally begin only after the applicable order requirements have been completed.

Depending on the order, these may include:

  • Required advance payment
  • Final product specifications
  • Quantity confirmation
  • Artwork approval
  • Label approval
  • Packaging approval
  • Colour/fragrance approval
  • Other required customer confirmations

A delay in payment, artwork, specifications or customer approval may affect the production and expected dispatch schedule.

14. Customised Orders

Urban Flame may manufacture customised candles based on customer requirements, subject to feasibility, MOQ and availability.

Customisation may include:

  • Colour
  • Fragrance
  • Candle design
  • Size
  • Jar or container
  • Label
  • Branding
  • Packaging
  • Gift presentation
  • Other agreed specifications

Customised products are produced specifically for the customer’s requirements.

The availability and feasibility of a requested customisation must be confirmed by Urban Flame before it should be treated as part of the final order specification.

15. Private Labelling

Private-label services may be available for eligible orders.

Private labelling may involve customer-supplied or customer-approved:

  • Brand names
  • Logos
  • Labels
  • Artwork
  • Packaging
  • Product information
  • Other branding materials

Private-label requirements may be subject to MOQ, printing limitations, packaging availability, technical feasibility and additional commercial terms disclosed before order confirmation.

16. Artwork / Logo / Label Approval

Where artwork, logos, labels, packaging or printed material is required, the customer may be asked to provide written approval before production or printing.

Customers should carefully verify all details before approval, including:

  • Brand name
  • Logo
  • Spelling
  • Contact information
  • Colours
  • Product information
  • Dimensions
  • Placement
  • Regulatory information supplied by the customer
  • Other printed content

Urban Flame may rely on the customer’s final written approval when proceeding with production.

17. Customer Responsibility for Approved Artwork

The customer is responsible for carefully checking customer-supplied or customer-approved artwork, text, logos, labels and other branding information before providing final approval.

Where Urban Flame has produced goods according to the customer’s final approved artwork or instructions, an error already present in the approved material will generally not constitute a manufacturing defect attributable to Urban Flame.

This clause does not exclude responsibility for an error independently introduced by Urban Flame after approval or any responsibility that cannot lawfully be excluded.

18. Colour, Fragrance & Handmade Variation

Candles may involve handmade or batch-based manufacturing processes.

Reasonable variations may occur between samples, photographs, batches and finished products, including variations in:

  • Colour/shade
  • Fragrance perception or intensity
  • Wax appearance
  • Surface finish
  • Texture
  • Minor dimensions
  • Decorative placement
  • Handmade detailing

Screen settings, photography and lighting may also affect how colours appear digitally.

Reasonable manufacturing or handmade variations should not automatically be treated as defects where the goods remain materially consistent with the agreed specifications.

19. Raw Material, Jar & Packaging Availability

Raw materials, waxes, fragrances, colours, jars, containers, labels, boxes and packaging components may be subject to supplier availability.

If an agreed component becomes unavailable before production, Urban Flame will endeavour to communicate the issue and, where appropriate, discuss a reasonably suitable alternative with the customer.

A material change to an approved product specification should be communicated for customer approval where reasonably required.

20. Production Timelines

Any production timeline communicated by Urban Flame is based on the information and circumstances available when the estimate is provided.

Production timelines may depend on:

  • Order quantity
  • Product type
  • Customisation complexity
  • Artwork and label approvals
  • Packaging requirements
  • Raw-material availability
  • Jar/container availability
  • Production capacity
  • Required payment completion
  • Customer response/approval time
  • Events outside reasonable control

Unless expressly agreed otherwise in writing, production dates communicated as estimates should not be treated as unconditional guarantees.

Urban Flame will make reasonable efforts to meet communicated schedules.

21. Dispatch Timelines

Dispatch can take place only after the goods are ready and all applicable dispatch conditions have been completed.

This includes, where applicable, clearance of the complete outstanding payment.

Production and dispatch timelines may depend on order size, customisation, material availability and completion of required payments and approvals.

Any expected dispatch date may therefore change if required information, approval or payment is delayed.

22. Shipping / Transport

Shipping, freight or transportation arrangements will be determined for each order.

The applicable quotation or written communication should specify, where relevant:

  • Whether freight is included or additional
  • Delivery/dispatch location
  • Transport arrangement
  • Any special handling requirement

Where transport is arranged through a third-party carrier, transporter or courier, the carrier’s own applicable terms may also apply.

Risk, title, freight responsibility and insurance arrangements, where relevant, should be determined by the specific agreed commercial terms and applicable law.

23. Delays Outside Reasonable Control

Urban Flame will make reasonable efforts to manufacture and dispatch orders according to communicated estimates.

Delays may occur because of circumstances outside Urban Flame’s reasonable control, including transportation disruption, supplier delays, raw-material shortages, power or infrastructure disruption, government restrictions, natural events or other events described under the Force Majeure section.

Where practicable, Urban Flame will endeavour to communicate material delays affecting an order.

24. Inspection on Delivery

Customers are requested to inspect goods reasonably promptly upon receipt.

The customer should check, as applicable:

  • Number of cartons/packages
  • Product quantity
  • Product type
  • Visible damage
  • Packaging condition
  • Obvious manufacturing issues

Any discrepancy should be documented and reported to Urban Flame within the claim period, if any, specified in the applicable invoice, quotation or written order terms.

Claim Period: [INSERT DETAILS, IF APPLICABLE]

25. Transit Damage

If goods appear to have been damaged during transportation, customers should preserve relevant evidence where reasonably possible, such as:

  • Photographs
  • Videos
  • Outer packaging
  • Damaged goods
  • Transport receipt/LR details
  • Delivery documentation

The handling of a transit-damage claim may depend on who arranged the transport, the carrier’s terms, insurance arrangements, the nature of the damage and the specific agreed shipping terms.

Customers should notify Urban Flame as soon as reasonably practicable after discovering transit damage.

26. Shortage / Wrong Product Claims

If a shipment contains a material shortage or an incorrect product, the customer should notify Urban Flame with reasonable supporting information.

Urban Flame may request photographs, videos, packaging details, invoice information, carton information or other evidence reasonably necessary to verify the claim.

Where a claim is verified, the appropriate resolution will depend on the circumstances, applicable law and agreed transaction terms.

27. Returns

As Urban Flame primarily supplies B2B, bulk, manufactured and customised products, returns are not automatically available merely because a customer changes its mind or no longer requires the goods.

Any return request will be considered according to:

  • Whether the goods are standard or customised
  • The reason for return
  • Product condition
  • Whether there is a verified defect or discrepancy
  • The applicable quotation/order terms
  • Applicable law

Goods should not be returned without prior communication and, where required, authorisation from Urban Flame.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded.

28. Refunds

Any refund, credit, replacement or other remedy will depend on the circumstances of the relevant order and the basis of the verified claim.

Urban Flame does not promise a fixed refund percentage through these Terms.

Where a refund is agreed or legally required, the amount and method will be determined according to the applicable transaction, payments received, work already completed, customised materials procured, goods produced and applicable law.

29. Cancellation

Customers should communicate cancellation requests to Urban Flame in writing as soon as possible.

Whether an order can be cancelled will depend on factors such as:

  • Whether production has begun
  • Whether raw materials have been purchased
  • Whether packaging or labels have been produced
  • Whether custom work has begun
  • Whether the goods have been completed
  • Whether the goods have been dispatched
  • The specific terms agreed for the order

Any financial treatment of a cancellation should reflect the circumstances of the order, actual commitments or work undertaken, agreed terms and applicable law.

30. Customised Goods Cancellation

Customised and private-label products are made specifically for a customer’s requirements and may not be readily resalable.

Accordingly, cancellation may become restricted once customised production, printing, procurement or other customer-specific work has begun.

If cancellation is requested after such work has begun, Urban Flame and the customer will address the request according to the stage of production, costs and commitments already incurred, the specific order terms and applicable law.

Any specific non-refundable amount or cancellation charge, if applicable, should be clearly communicated and agreed as part of the relevant transaction rather than assumed from these general Terms.

31. Intellectual Property

Unless otherwise stated, the Website and its original content, including Urban Flame’s branding, text, graphics, photographs, product presentation, designs and other proprietary materials, are owned by or licensed to Urban Flame and are protected under applicable intellectual-property laws.

No Website content may be copied, reproduced, republished or commercially exploited without appropriate permission, except as permitted by applicable law.

Nothing in these Terms transfers ownership of Urban Flame’s intellectual property to a customer.

32. Customer-Supplied Logos / Trademarks

Where a customer supplies a logo, trademark, artwork, brand name, design or other intellectual property for customisation or private labelling, the customer represents that it has the necessary rights, permissions or authority to use and provide those materials for the requested purpose.

Urban Flame may use such material solely as reasonably necessary to fulfil the customer’s order unless otherwise agreed.

If a legitimate intellectual-property concern arises regarding customer-supplied material, Urban Flame may pause the relevant work while the matter is clarified.

33. Website Content

Information on the Website is provided for general business and product-information purposes.

Website content may be updated, corrected or changed from time to time.

Product photographs and descriptions are illustrative and may not constitute the complete specification for a particular B2B order.

Customers should rely on the final quotation, specifications, approved artwork and other agreed written order documentation for transaction-specific requirements.

34. Limitation of Liability

To the extent permitted by applicable law, each party’s rights and liabilities will be determined by the applicable contract, the circumstances of the transaction and applicable law.

Urban Flame will not be responsible for indirect or consequential business losses to the extent such liability may lawfully be excluded, particularly where they result from circumstances outside Urban Flame’s reasonable control.

Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law, including liability arising from fraud or other liability that cannot legally be excluded.

Any transaction-specific liability limitation should be separately reviewed and appropriately documented.

35. Force Majeure

Urban Flame will not be responsible for a failure or delay in performing an obligation to the extent caused by events beyond its reasonable control, subject to applicable law.

Such circumstances may include, where relevant:

  • Natural disasters
  • Fire or flood
  • Epidemic or pandemic restrictions
  • War, civil disturbance or similar events
  • Government actions or restrictions
  • Strikes or significant labour disruption
  • Transportation or logistics disruption
  • Significant power or infrastructure failure
  • Supplier disruption or material shortages caused by circumstances beyond reasonable control

Where such an event materially affects an order, Urban Flame will make reasonable efforts to communicate with the customer and resume performance when reasonably possible.

36. Governing Law

These Terms and applicable transactions with Urban Flame will be governed by the laws of India, subject to any mandatory law that applies.

Any transaction-specific agreement may contain additional governing-law provisions where appropriate.

37. Jurisdiction

The appropriate court or dispute-resolution jurisdiction applicable to Urban Flame should be stated after legal review.

Jurisdiction: [INSERT DETAILS AFTER LEGAL REVIEW]

Nothing in this section is intended to override any mandatory jurisdiction or dispute-resolution rights provided by applicable law.

38. Changes to These Terms

Urban Flame may update these Terms from time to time to reflect changes in business practices, products, Website operations or applicable legal requirements.

The latest version will be published on this Website with an updated “Last Updated” date.

Changes will generally apply prospectively. Terms applicable to an already confirmed order will be determined by the terms agreed for that transaction and applicable law rather than being unilaterally changed by a later Website update.
